Terms and Conditions
These Terms of Service (“Terms”) govern access to and use of the websites, applications, borrower portals, broker portals, software, communications tools, artificial intelligence features, and related services provided by MINA Pro LLC (“MINA Pro,” “MINA,” “we,” “us,” or “our”), collectively, the “Services.”
By accessing or using the Services, creating an account, or electronically accepting these Terms, you agree to these Terms.
If you use the Services on behalf of a company, mortgage broker, lender, processing company, or other organization, you represent that you are authorized to act on its behalf.
1. MINA Pro’s Role
MINA Pro provides technology and workflow tools for mortgage professionals and their customers.
MINA may provide tools supporting borrower intake, loan applications, document collection and organization, communications, workflow management, artificial intelligence-assisted analysis, loan-file management, lender or third-party integrations, electronic records, and other mortgage-related administrative functions.
MINA Pro is not a mortgage lender and does not make lending or underwriting decisions.
Unless expressly stated otherwise, MINA does not:
- approve or deny loans;
- determine borrower eligibility;
- establish interest rates or loan pricing;
- make underwriting decisions;
- guarantee loan approval, loan terms, rates, pricing, funding, or closing;
- provide legal, tax, financial, investment, or mortgage advice; or
- act as the borrower’s mortgage loan originator or advisor.
Mortgage professionals, lenders, and other authorized parties remain responsible for lending decisions, required disclosures, regulatory obligations, advice provided to borrowers, and communications concerning a mortgage transaction.
2. Broker-Branded Services
Certain MINA Services may be provided through a portal or experience displaying the name, branding, or contact information of a mortgage broker, lender, processing company, or other MINA customer (“Customer Organization”).
MINA provides the underlying technology supporting these experiences.
A “Powered by MINA Pro” notice or similar identification may appear within the Services.
Communications facilitated by MINA may be sent on behalf of or under the branding of the applicable Customer Organization.
3. Eligibility
The borrower portal and mortgage-related Services are intended only for individuals who are at least 18 years old.
By creating an account, you represent that you are at least 18 years old.
4. Accounts
Users may be required to create individual login credentials to access portions of the Services.
You are responsible for:
- providing accurate account information;
- maintaining the confidentiality of your login credentials;
- not sharing your account with another person; and
- notifying the appropriate Customer Organization or MINA if you suspect unauthorized access.
MINA or the Customer Organization may establish role-based permissions governing what information and functions a user may access.
Co-borrowers and other individuals may be required to maintain separate accounts even when associated with the same loan.
5. Borrower Information and Loan Files
Borrowers may use the Services to provide information related to a mortgage application or transaction, including financial, employment, property, identity, contact, and other information.
Borrowers may also upload documents and records requested by their mortgage professional.
After submission, authorized personnel of the applicable Customer Organization may review, supplement, correct, or update information in the loan file as part of processing the mortgage transaction.
Accordingly, information appearing in a loan file should not necessarily be understood as information entered or verified exclusively by the borrower.
MINA may maintain audit records concerning changes and activity within the Services.
6. Customer Organization Responsibilities
Customer Organizations are responsible for their mortgage operations and for determining their legal and regulatory obligations.
This includes responsibility for:
- required mortgage disclosures;
- disclosure timing;
- borrower authorizations and consents;
- licensing requirements;
- credit-report authorizations;
- loan-origination and lending requirements;
- communications with borrowers;
- determining which documents are required;
- selecting lenders and third-party providers;
- compliance with applicable federal and state law; and
- verifying information before relying upon it for a lending decision.
MINA’s technology does not replace the Customer Organization’s compliance responsibilities.
7. Artificial Intelligence and Automated Features
The Services may use artificial intelligence, machine learning, rules-based automation, or similar technologies to process information and assist authorized users.
These features may, for example:
- extract information from documents;
- organize loan information;
- identify missing or inconsistent information;
- summarize records or communications;
- identify potential conditions or workflow tasks;
- validate formatting or data fields;
- assist with document classification;
- compare information within or across authorized loan records; or
- generate alerts, suggestions, or other workflow assistance.
AI-generated results may contain errors and must not be treated as lending decisions, legal advice, underwriting determinations, or independently verified facts.
MINA’s AI features are designed to assist mortgage professionals. Where MINA provides an AI-generated suggestion, flag, or analysis concerning a loan, the Customer Organization remains responsible for reviewing the information and determining what action to take.
MINA does not authorize its AI systems to independently approve or deny a mortgage loan.
8. Documents and Electronic Records
The Services may permit borrowers and Customer Organizations to upload, receive, review, acknowledge, sign, or otherwise interact with electronic documents.
Where applicable, each person must provide their own acknowledgment, consent, or electronic signature.
Electronic records may include information showing the identity of the user, date and time of the action, document involved, and other audit information.
The Customer Organization remains responsible for determining which documents, signatures, acknowledgments, or disclosures are legally required for a particular mortgage transaction.
9. Consent to Electronic Transactions
By using the Services electronically, you consent to conducting transactions and receiving records electronically to the extent permitted by applicable law.
Certain mortgage or consumer disclosures may require a separate electronic-record consent. When applicable, that separate consent will govern delivery of those records.
You may be able to view, retain, or download electronic documents made available through the Services.
Nothing in these Terms eliminates any right to paper records or other rights provided by applicable law.
10. Email Communications
Users may receive service-related and transactional emails concerning their account, loan application, documents, security, requested actions, or other activity associated with the Services.
These communications may be sent by or on behalf of the applicable Customer Organization using technology provided by MINA.
Because these communications may be necessary to administer an active account or mortgage transaction, they are not treated as optional marketing communications.
Marketing communications, if any, are governed separately and subject to applicable law.
11. SMS/Text Messaging
Where offered, borrowers may separately choose to receive loan-related SMS or text messages from or on behalf of their Customer Organization through technology facilitated by MINA and third-party messaging providers.
SMS consent is optional and is not a condition of applying for a loan, creating a MINA-supported portal account, or obtaining mortgage services.
Message frequency may vary. Message and data rates may apply.
Reply STOP to opt out of text messages and HELP for assistance.
After an opt-out request is processed, additional messages will not be sent through the applicable messaging program unless the user subsequently opts in again, except for a permitted confirmation of the opt-out.
MINA may maintain records of SMS consent and withdrawal of consent.
Additional messaging disclosures presented at the point of enrollment form part of these Terms.
12. Third-Party Services and Integrations
MINA may integrate with or rely upon third-party technology providers to operate the Services.
These may include cloud infrastructure, email providers, artificial intelligence providers, electronic-signature providers, communications providers, credit-related service providers, loan origination systems, lenders, wholesale lenders, document providers, and other services selected or authorized by MINA or a Customer Organization.
When a Customer Organization enables or uses an integration, information may be transmitted to or received from the applicable third party as necessary to provide the requested functionality.
Third-party services may be governed by their own terms and privacy practices.
MINA is not responsible for the independent acts, services, availability, decisions, or errors of third parties outside MINA’s reasonable control.
13. Credit Reports and Credit Services
MINA does not itself act as a consumer reporting agency or independently pull consumer credit reports.
A Customer Organization may initiate a credit request using its own authorized credit provider or account.
MINA may now or in the future facilitate integrations with authorized credit or data providers. When such an integration is used, MINA may transmit information to or receive and process information from the provider as necessary to support the Customer Organization’s authorized workflow.
The Customer Organization remains responsible for obtaining any authorization legally required to request consumer credit information.
14. Communications and Connected Email Accounts
Authorized Customer Organization users may connect supported email accounts to MINA.
When an email account is connected, MINA may process messages and attachments within that connected account to determine whether they relate to a loan or other authorized workflow.
Messages that cannot automatically be matched may be placed into an unmatched or similar workflow for review by authorized users.
Because matching requires analyzing incoming information, this processing may include messages that ultimately are determined not to relate to a loan.
Customer Organizations are responsible for ensuring that their connection and use of email accounts through MINA is authorized and lawful.
15. Loan Exports and Lender Submission
The Services may permit authorized users to export loan information, documents, MISMO data, or other records for submission to lenders, third-party originators, loan origination systems, or other authorized recipients.
Submission may occur manually or through integrations or APIs.
MINA does not control or guarantee acceptance, underwriting, pricing, availability, or processing by the recipient.
16. Historical Records and Archiving
Loan records may be archived rather than immediately deleted when a loan is completed, withdrawn, denied, transferred, or otherwise inactive.
Records may be retained based on Customer Organization instructions, applicable legal and regulatory requirements, contractual requirements, security requirements, backup practices, and legitimate business needs.
Customer Organizations may retain access to archived records for applicable retention periods, including after termination of an active MINA subscription where required by MINA’s applicable retention policy or law.
Available archive functionality may include access to and download of individual records and documents.
17. Borrower Privacy Requests
A Customer Organization generally controls the underlying mortgage relationship and loan file.
Borrowers seeking to access, correct, or request deletion of information contained in their mortgage file should generally contact their mortgage broker, lender, or other Customer Organization.
MINA may assist Customer Organizations in responding to such requests when required or appropriate.
Certain information may not be deleted when retention is required or permitted by law, regulation, contractual obligation, fraud prevention, security requirements, dispute resolution, or other legitimate purposes.
18. Acceptable Use
You may not:
- access another person’s account without authorization;
- share login credentials;
- attempt to bypass access controls;
- upload malicious software;
- interfere with operation or security of the Services;
- scrape or extract information except through authorized functionality;
- use the Services for fraud or unlawful activity;
- misrepresent your identity or authority;
- attempt unauthorized access to another Customer Organization’s information; or
- use the Services in violation of applicable law.
19. Security and Suspension
MINA may use administrative, technical, and organizational safeguards intended to protect information and the Services.
MINA may temporarily restrict or suspend access when reasonably necessary to investigate or address suspected fraud, unauthorized access, misuse, legal violations, security threats, or risks to users, Customer Organizations, MINA, or third parties.
Where reasonably practical, MINA will provide appropriate notice to the affected Customer Organization.
20. Intellectual Property
MINA and its licensors retain all rights in the Services, including software, technology, interfaces, designs, workflows, models, documentation, trademarks, and other intellectual property.
Except for rights expressly granted to use the Services, no intellectual-property rights are transferred to users.
Users and Customer Organizations retain their respective rights in information and documents they lawfully provide through the Services.
21. Feedback
If you voluntarily provide suggestions or feedback concerning MINA, you authorize MINA to use that feedback to develop and improve its products and services without restriction or compensation, provided MINA does not thereby acquire ownership of your underlying borrower or loan records.
22. No Professional Advice
Information, AI outputs, calculations, alerts, summaries, workflow suggestions, or other content generated through MINA are provided as technology-assisted information.
They are not a substitute for professional mortgage, legal, tax, accounting, financial, underwriting, or compliance advice.
23. No Guarantee of Mortgage Results
MINA does not guarantee:
- loan approval;
- lender acceptance;
- underwriting outcomes;
- interest rates;
- pricing;
- loan programs;
- closing dates;
- funding;
- property eligibility;
- appraisal results; or
- any other mortgage outcome.
Mortgage products and decisions are provided or made by independent mortgage professionals and lenders.
24. Service Availability
MINA works to maintain reliable Services but does not guarantee uninterrupted or error-free operation.
Features may be modified, added, suspended, or discontinued as MINA develops the platform, subject to contractual obligations MINA may have with Customer Organizations.
25. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
MINA DISCLAIMS WARRANTIES THAT ARE NOT EXPRESSLY PROVIDED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
26. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MINA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SERVICES.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
Any additional contractual limitation applicable to a Customer Organization may be contained in that organization’s separate agreement with MINA.
27. Customer Organization Agreements
Customer Organizations may enter into a separate Master Subscription Agreement, Services Agreement, Data Processing Agreement, order form, or similar contract with MINA.
Those agreements govern the commercial relationship between MINA and the Customer Organization.
If a Customer Organization agreement conflicts with these Terms regarding the relationship between MINA and that Customer Organization, the Customer Organization agreement controls to the extent of the conflict.
28. Governing Law and Disputes
These Terms are intended for users throughout the United States.
The laws applicable to a particular user or dispute may vary based on the user’s location, the nature of the relationship, and applicable federal and state consumer-protection requirements.
Except where prohibited or superseded by applicable law, these Terms and disputes concerning MINA will be governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Nothing in these Terms waives any consumer right or remedy that cannot lawfully be waived.
MINA may establish additional dispute-resolution procedures, including arbitration terms where legally appropriate, through a separate conspicuous agreement or applicable Customer Organization contract.
29. Changes to These Terms
MINA may update these Terms as its Services, technology, legal requirements, or business practices change.
The updated Terms will be posted with a revised “Last Updated” date.
Where required by law or where changes materially affect users’ rights, MINA may provide additional notice or request renewed acceptance.
